1. Introduction
Please read these Terms of Service (“Terms”) carefully before using the foxylearning.com website (the “Website”) operated by FoxyLearning LLC, a Limited Liability Company formed in Washington, United States (“us,” “we,” “our”). These Terms contain important information regarding limitations of our liability.
Your access to and use of this Website is conditional upon your acceptance of and compliance with these Terms. By registering with, accessing, or otherwise using this Website, you agree to be bound by these Terms. If you disagree with any part of the Terms, you do not have our permission to access or use the Website.
These Terms apply to everyone, including visitors, students, instructors, trainees, and others who wish to access and use the Website. You may be bound by additional contracts related to products or services you receive from us. If any provisions of those additional contracts conflict with these Terms, the provisions of the additional contracts will control and prevail. If you use the Website as part of a course, training program, or employment, your instructor, educational institution, or employer may also have its own policies that apply to you; those policies are separate from these Terms.
2. Electronic Communication
By using this Website or communicating with us electronically, you agree that we may communicate with you electronically, and you agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
3. Our Offers and Pricing
We offer digital products on this Website, including online learning modules in behavior analysis, psychology, and related topics. Our modules are commonly used as supplements to college and university courses, as training resources in clinics and other organizations, and for independent study. Prices are listed on the Website and do not include taxes or other fees that you may be charged.
Our modules do not award continuing education units (CEUs) or academic credit. Whether completing a module counts toward a grade, course credit, or training requirement is determined solely by your instructor, institution, or employer, not by us. Continuing education for behavior analysts is offered separately on our sister website, CEUniverse (ceuniverse.com), under its own terms.
Your access to a module you purchase does not expire, and modules generally remain available for as long as you keep your account. On rare occasions we may need to remove a module, for example if it becomes outdated or for licensing reasons. In such cases, we will notify you of the change in advance.
4. Purchases
When you make a purchase, payment will be collected and processed by one or more third-party payment processors. The payment methods available to you (which may include credit or debit cards, digital wallets such as Apple Pay and Google Pay, and buy-now-pay-later or other alternative payment methods) vary depending on your device, location, and other factors, and may change from time to time. We are not responsible for the collection, use, sharing, or security of your billing information by these third-party payment processors. Your use of a third-party payment processor is also subject to that processor’s own terms and privacy policy.
5. Coursepacks, Group Licenses, and Instructor Access
5.1 Coursepacks
Instructors may create coursepacks on this Website that bundle one or more of our modules for a specific course, term, and institution. When you purchase a coursepack, you receive access to the modules included in it, and your account is placed in a private group associated with that course. Each coursepack product page identifies the course, term, institution, instructor, and included modules. Please confirm these details before purchasing, because a coursepack is linked to the instructor and group shown on its product page.
5.2 Sharing of Progress and Performance Data with Instructors
By purchasing a coursepack, joining a group with an enrollment key, or otherwise joining a group on this Website, you agree that the instructor(s), group leader(s), or administrator(s) of that group may view your name, email address, and any and all progress and performance data our Website collects about you for the modules associated with the group. This data may include, for example, your enrollment and activity dates, progress through each module, completion status, and quiz or assessment results. This sharing is a core feature of coursepacks and groups and continues for as long as you remain a member of the group.
You may ask us to remove you from a group at any time by contacting us. Removal ends the group’s access to your progress and performance data going forward, but it does not affect data your instructor or organization has already viewed or recorded, and it may affect how your instructor or organization evaluates your work. How your instructor, institution, or employer uses your data (including for grades, credit, or training records) is governed by their own policies, and we are not responsible for their decisions or their handling of that data.
5.3 Group Licenses and Enrollment Keys
An organization or individual may purchase a group license that provides a set number of seats for our modules, and may distribute enrollment keys that allow others to join the group. Each person who uses an enrollment key must do so through their own individual account. Enrollment keys may be used only by the people the purchaser intends to receive them, may not be resold or published, and may be deactivated if we reasonably believe they have been shared beyond their intended use.
5.4 Instructor and Group Leader Responsibilities
If you create a coursepack, manage a group, or receive complimentary review access to our modules as an instructor, you agree that: (a) you will use the progress and performance data of your students or trainees only for legitimate educational or training purposes and in compliance with applicable law and your institution’s or organization’s policies; (b) you will not share your instructor account or complimentary review access with anyone else, including your students; (c) you will not copy, redistribute, or post module content, quiz questions, or answer keys; and (d) the course details you provide for a coursepack are accurate. Complimentary review access is provided solely so that you can evaluate our modules for possible use in your teaching or training, and we may modify or end it at any time.
6. Academic Integrity and Anti-Fraud Requirements
Because our modules are often assigned by instructors, schools, and employers, and completion records may be used for grades, course credit, or training requirements, individual and honest completion is essential. You agree that the following conditions apply to all modules, quizzes, assessments, and other interactive content on this Website.
6.1 No Sharing of Accounts or Credentials
You may not share your account, username, password, login credentials, enrollment keys intended for you alone, or access tokens with any other person, and you may not permit any other person to access or use the Website through your account. You are solely responsible for all activities occurring under your account. You must notify us immediately upon becoming aware of any unauthorized use of your account. An instructor, organization, or individual may purchase modules on behalf of others where we offer that option, but each person who completes a module must do so through their own individual account.
6.2 Individual Completion Only
You may not complete, view, interact with, or otherwise engage with our modules, quizzes, assessments, or other content on behalf of, or in the name of, any other person, and you may not allow anyone else to do so on your behalf. Each user must complete all module activities personally, and any progress records, completion records, or certificates of completion issued by us reflect only that the named individual user completed the activities. Misrepresenting another person’s participation in, or completion of, our content is strictly prohibited.
6.3 No Automated Interaction or Artificial Intelligence Agents
You may not use artificial intelligence agents, bots, scripts, automated browsers, or any other automated technology or process to interact with, complete, or engage with our modules, quizzes, assessments, timers, or any other content on our Website. You also may not use artificial intelligence tools or other outside assistance to generate or supply answers to quizzes or assessments on your behalf, unless your instructor has expressly permitted that assistance for your course. All interaction with our content must be performed personally by the individual registered user.
This Section does not prohibit the use of assistive technologies (such as screen readers, screen magnifiers, voice control, or switch access) by individuals with disabilities to access our content, provided that the registered user personally performs all module activities and answers all assessment questions.
6.4 No Sharing of Content or Answers
You may not copy, record, or distribute module content, quiz or assessment questions, or answers, including by posting them to study-sharing, homework-help, or flashcard websites, social media, or group chats, or by providing them to other students or trainees.
6.5 Investigation and Consequences of Violation
If we reasonably believe you have violated this Section 6, we will ordinarily notify you by email and give you an opportunity to respond before taking final action, except where we reasonably believe immediate action is necessary to protect the integrity of our modules or completion records. Violation of any provision of this Section 6 constitutes a material breach of these Terms and may result, in our sole discretion, in: (a) suspension or termination of your account without refund; (b) resetting or invalidating affected progress and completion records, and revocation of any certificates of completion obtained through the Website; (c) permanent prohibition on future registration; and/or (d) denial of any pending refund request, or recovery of any refund previously issued for the affected purchase.
6.6 Reporting to Instructors, Institutions, and Organizations
Completing another person’s work, sharing credentials, using prohibited automated tools, or sharing answers may constitute academic dishonesty or misconduct under the policies of your educational institution or employer. Accordingly, if we reasonably believe you have violated this Section 6, we reserve the right to report such conduct, together with relevant account, activity, and completion records, to the instructor or group leader of any course or group associated with your account, and to the educational institution or organization associated with that course or group (such as an academic integrity office, dean of students, program director, or training supervisor). We may cooperate fully with any resulting investigation. We do not determine academic consequences; any such decision rests with your instructor, institution, or organization under its own policies. Our Privacy Statement describes this disclosure.
7. Accounts
When you create an account, you guarantee that you are 18 years of age or older and that the information you provide is accurate, complete, and current at all times. Inaccurate, incomplete, or obsolete information may result in immediate termination of your account.
You are responsible for maintaining the confidentiality of your account and password, including restricting access to your computer and/or account. You agree to accept responsibility for all activities occurring under your account or password. We reserve the right to terminate your account at any time at our sole discretion. After termination, you will not attempt to register a new account without our permission. You may terminate your account by contacting us.
8. Cancellation and Refund Policy
We offer refunds on purchases of digital products, including individual modules and coursepacks, if you submit your request to us within 30 days of your purchase date. Refunds are available for any reason, including dropping the course for which you purchased a coursepack, except that no refund will be issued (a) for a module you have completed, whether purchased individually or as part of a coursepack, (b) for group license seats that have already been used to enroll someone, or (c) where a violation of Section 6 has occurred. If you have completed some but not all modules in a coursepack, we may issue a partial refund for the modules you have not completed. To request a refund, contact us at [email protected].
9. No Warranty on Purchases
THE ITEMS OR SERVICES DISPLAYED OR SOLD ON THIS WEBSITE ARE PROVIDED “AS IS.” NO WARRANTY, EXPRESS OR IMPLIED (INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OR FITNESS FOR A PARTICULAR PURPOSE OR USE) SHALL APPLY, EXCEPT WHERE SUCH DISCLAIMER WOULD BE UNLAWFUL UNDER APPLICABLE CONSUMER PROTECTION LAW.
10. Remedies
To the extent permitted by applicable law, your sole and exclusive remedy for any dissatisfaction with or defect in a product you purchase from us is a refund in accordance with Section 8.
11. Comments and Uploading Content
By submitting a comment or uploading content onto this Website, you grant FoxyLearning LLC a worldwide, non-exclusive, perpetual, royalty-free license to reproduce, publish, and distribute the content. You are responsible for ensuring that your content does not contain confidential or proprietary information and does not violate any laws, rules, or regulations. We reserve the right to remove any content or comment at any time in our sole discretion. You agree that your content will comply with these Terms and must not be illegal, unlawful, or infringe any person’s legal rights.
The following is a non-exhaustive list of prohibited content: content that harasses others; swearing, name calling, or otherwise abusive content; content displaying, depicting, or suggesting violence; content encouraging or committing illegal acts; content infringing on anyone’s rights, including intellectual property rights; discriminatory or offensive content; pornographic or sexually explicit content; content that exploits or abuses children; content sharing personal information without consent; content advertising products or services without our permission; and spam.
12. Idea Submission
Do not submit any ideas, inventions, works of authorship, or other information that constitutes your intellectual property unless we have first signed an agreement regarding the intellectual property or a non-disclosure agreement. If you disclose such material absent a written agreement, you grant us a worldwide, irrevocable, non-exclusive, royalty-free license to use, reproduce, store, adapt, publish, translate, and distribute your content in any existing or future media.
13. Responsible Use and Prohibited Uses
You agree to use this Website only for lawful purposes, in accordance with these Terms, any additional contracts with us, applicable laws, and generally accepted online practices. You agree that you will not, among other things:
- Impersonate or attempt to impersonate FoxyLearning LLC, its employees, representatives, subsidiaries, or divisions;
- Misrepresent your identity or affiliation with any person or entity;
- Send advertising or promotional material, including spam, junk mail, or chain mail;

- Copy, record, or distribute module content, quiz or assessment questions, or answers, including by posting them to study-sharing or homework-help websites, as described in Section 6.4;
- Attempt to gain unauthorized access to or disrupt any part of the Website, its servers, or connected databases;
- Circumvent or bypass any access restriction or integrity-verification measure on the Website;
- Use data collected from the Website for direct marketing, or conduct any systematic or automated data collection activities;
- Publish or distribute malicious computer software; or
- Use the Website in any way that violates any applicable federal, state, or local law.
14. No Warranty on Website
THIS WEBSITE IS PROVIDED “AS IS” AND “AS AVAILABLE” AND MAY INCLUDE INACCURACIES OR TYPOGRAPHICAL ERRORS. NO WARRANTY, EXPRESS OR IMPLIED (INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OR FITNESS FOR A PARTICULAR PURPOSE OR USE) SHALL APPLY, EXCEPT WHERE SUCH DISCLAIMER WOULD BE UNLAWFUL UNDER APPLICABLE CONSUMER PROTECTION LAW.
15. Availability, Errors, and Inaccuracies
We assume no liability for the availability of, or errors or inaccuracies in, the information, products, or services provided on this Website. We expressly reserve the right to correct any pricing errors, including by canceling and refunding an order placed at an erroneous price.
16. Damages and Limitation of Liability
Nothing in these Terms limits or excludes any warranty or liability that it would be unlawful to limit or exclude. Subject to that:
IN NO EVENT SHALL FOXYLEARNING LLC BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR ACCESS TO, DISPLAY OF, OR USE OF THIS WEBSITE, INCLUDING ANY COMPUTER VIRUSES, LINKED WEBSITES OPERATED BY THIRD PARTIES, OR PRODUCTS OR SERVICES OBTAINED THROUGH THIS WEBSITE, WHETHER BASED ON A THEORY OF NEGLIGENCE, CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR MAXIMUM AGGREGATE LIABILITY FOR ALL DIRECT DAMAGES AND ALL OTHER CLAIMS SHALL BE LIMITED TO THE AMOUNT OF FEES ACTUALLY RECEIVED BY US FROM YOU. THIS LIMITATION REFLECTS THE ALLOCATION OF RISK BETWEEN YOU AND US AND SURVIVES EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

If the dispute is not resolved within 30 days after the notice is received, either party may proceed as described below. Any applicable limitation period is paused during this 30-day period.
Small claims. Either party may bring an individual claim in any small claims court with jurisdiction over it, as long as the claim remains in that court.
